1. Acceptance of Terms
By accessing or using Kwill (“Kwill,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use or access the service.
2. Description of Service
Kwill provides client portal software, including proposal generation, e-signatures, invoicing, and payment integration tools designed for freelancers and small agencies.
3. Account Registration
To access Kwill, you must register for an account and provide accurate, current, and complete information. Accounts are limited to one per person or legal entity. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
4. Acceptable Use Policy
You agree not to use Kwill for fraudulent proposals, sending spam, reselling access to the service, or engaging in any activity that violates applicable local, state, national, or international laws. We reserve the right to suspend accounts that violate these guidelines.
5. Payment Terms
Subscriptions automatically renew unless cancelled prior to the renewal date. All payment processing is handled securely through Stripe and is subject to Stripe’s Terms of Service.
Refund Policy: We offer a full 14-day refund for annual plans if requested in writing within 14 days of purchase. Subscriptions on monthly plans are non-refundable.
6. Intellectual Property
Kwill retains all rights, title, and interest in and to the platform and underlying technology. You retain full ownership of all content you upload or transmit through Kwill (e.g., proposals, contracts, invoices). You grant Kwill a limited right to use anonymized, aggregated data for product improvement and analytics purposes.
7. Account Termination
You may cancel your subscription and close your account at any time via your account settings. Kwill reserves the right to suspend or terminate accounts that violate these terms. Your account data will be retained for 30 days post-termination, after which it will be permanently deleted.
8. Limitation of Liability
To the maximum extent permitted by law, Kwill’s total liability for any claims arising out of or relating to these terms or the service is limited to the amount paid by you to Kwill in the 12 months preceding the event giving rise to the claim. Kwill shall not be liable for any indirect, incidental, or consequential damages.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Kwill is registered in Ontario, Canada. Any legal disputes shall be resolved exclusively in the courts of Ontario.
10. Changes to Terms
We may modify these Terms from time to time. We will provide at least 30 days’ advance notice via email to registered account holders prior to any material changes taking effect.
